Partner Agreement

Effective: March 2026

This Partner Agreement ("Agreement") is entered into between StayViz Ltd ("StayViz", "we", "us", or "our"), a company registered in England and Wales, and the hotel property ("Partner", "you", or "your") that registers through the StayViz partner signup process. By completing registration and checking the agreement box, you confirm acceptance of these terms.

1. Definitions

• "Platform" means the StayViz website, applications, and associated services used to display hotel listings and facilitate bookings.
• "Booking" means a confirmed reservation made by a guest through the Platform for accommodation at the Partner's property.
• "Completed Booking" means a Booking where the guest has checked in and the stay has been fulfilled, or a no-show where the cancellation policy permits a charge.
• "Booking Value" means the total accommodation charge for a Completed Booking, excluding applicable taxes, resort fees, and mandatory government charges.

2. Commission Structure

StayViz operates on a commission-only model. There are no setup fees, subscription fees, or minimum commitments. Commission is charged only on Completed Bookings.

You may change your plan at any time by contacting your account manager or emailing [email protected]. Plan changes take effect from the following calendar month.

4. Payment Terms

The hotel chooses how guests pay, and may offer either or both options. Pay online: the guest pays StayViz at the time of booking and StayViz issues the hotel a virtual credit card for the booking value less commission; no commission invoice is raised for these bookings. Pay at the hotel: the guest pays the hotel directly and commission on completed bookings is settled on a monthly basis as follows:

• StayViz will issue a commission invoice by the 5th of each month for all Completed Bookings in the previous calendar month.
• Payment is due within 14 days of the invoice date.
• Invoices will detail each Booking, the guest name, dates of stay, Booking Value, and commission amount.
• Disputed charges must be raised within 7 days of the invoice date.

5. Booking Obligations

As a Partner, you agree to:

• Honour all confirmed Bookings at the rate and conditions displayed at the time of booking.
• Provide the room type, amenities, and services as described in your listing.
• Process guest check-ins promptly and professionally.
• Apply cancellation charges only in accordance with the cancellation policy displayed on your listing.
• Notify StayViz immediately if you are unable to accommodate a confirmed Booking, so that alternative arrangements can be made for the guest.

6. Listing and Content

StayViz will create and maintain your property listing using publicly available information, including photographs, room descriptions, amenities, and location data. You may request updates or corrections at any time by contacting us.

You grant StayViz a non-exclusive, royalty-free licence to use your property name, logo, photographs, and descriptive content for the purpose of displaying your listing on the Platform and in marketing materials.

7. Pricing

StayViz displays competitive rates sourced in real time using AI-powered pricing technology. You are not required to provide exclusive rates to StayViz. However, offering competitive or preferential rates may improve your listing's visibility and ranking on the Platform.

8. Termination

Either party may terminate this Agreement by providing 30 days written notice to the other party via email.

• All Bookings confirmed before the termination date must be honoured by the Partner.
• Commission on Bookings confirmed before termination remains payable.
• There are no exit fees, early termination fees, or penalties.
• StayViz will remove your listing from the Platform within 7 days of the termination date.

StayViz reserves the right to suspend or terminate a Partner's listing immediately if the Partner repeatedly fails to honour confirmed Bookings, engages in fraudulent activity, or materially breaches this Agreement.

9. Data and Privacy

Guest personal data shared with the Partner for the purpose of fulfilling a Booking shall be used solely for that purpose. The Partner agrees not to use guest data obtained through StayViz for unsolicited marketing or to share it with third parties without the guest's explicit consent.

Both parties agree to comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

10. Liability

StayViz acts as an intermediary between the Partner and the guest. The Partner remains solely responsible for the guest experience, the condition of the property, check-in and check-out procedures, and all services provided during the guest's stay.

StayViz shall not be held liable for disputes between the Partner and any guest, including but not limited to complaints about room quality, service standards, or billing discrepancies.

11. Changes to This Agreement

StayViz may update this Agreement from time to time. Material changes will be communicated with at least 30 days notice via email to the address registered on your partner account. Continued use of the Platform after the notice period constitutes acceptance of the updated terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
